Association
The regional association is named "Touristische Gebietsgemeinschaft NEISSELAND e.V." (NEISSELAND Tourist Association). It is a registered association based in Görlitz. The association's mission is to promote tourism in a way that fosters healthy economic, cultural, and environmentally responsible development. The association's work focuses on coordinating the activities of its members and, in cooperation with higher-level authorities and associations with similar objectives, developing tourism and promoting local identity. This is to be achieved in particular through:
the implementation of tourism advertising, public relations
Tourism marketing for the area including program arrangements, advertising and supra-regional presentations in coordination with local service providers, publication of uniform documentation.
the commitment to the revival, preservation and maintenance of traditions and cultural customs.
the organization of information and experience exchange, representation of interests to authorities, active employees in the regional and state tourism association, and development of partnerships with relevant marketing companies.
Development of a guiding principle for the catchment area of the regional community.

§1 NAME AND REGISTERED OFFICE
The regional association is named "Touristische Gebietsgemeinschaft NEISSELAND eV". It is a registered association and is based in Görlitz.
§2 PURPOSE OF THE ACTIVITY
The association's officers serve on a voluntary basis. Funds of the regional association may only be used for the purposes stipulated in the statutes. The association may not favor any natural or legal persons through expenditures unrelated to the purposes of the regional association "NEISSELAND eV" or through disproportionately high compensation. Members do not receive any payments from the regional association's funds. Members who have resigned or been expelled have no claim to the association's assets.
The association is politically and religiously neutral.
To fulfill its tasks, the club can form divisions.
The "Touristische Gebietsgemeinschaft NEISSELAND eV" recognizes the organizational, financial, professional and interdisciplinary independence of its members and promotes their collegial cooperation.
§3 TASKS OF THE REGIONAL COMMUNITY
The "Touristische Gebietsgemeinschaft NEISSELAND eV" has the task of promoting tourism in the sense of healthy economic, cultural and environmentally sustainable development.
The work of the regional association is aimed at coordinating the activities of its members and, in cooperation with higher-level authorities and associations with similar objectives, developing tourism and promoting local identity. This is to be achieved in particular through:
the implementation of tourism advertising, public relations
Tourism marketing for the area, including program arrangements, advertising and supra-regional presentation in coordination with local service providers, publication of standardized documentation
the commitment to the revival, preservation and cultivation of traditions and cultural customs
the organization of the exchange of information and experience
Representation of interests vis-à-vis authorities, active participation in the regional and state tourism association, and development of partnerships with relevant marketing companies
Development of a guiding principle for the catchment area of the regional community
Development of a tourist infrastructure
3. The task of the regional community is to promote, preserve and sustainably develop the natural resources, regional development and cultural identity, which serve to secure the future of the region and create essential conditions for successful tourism development:
Preservation and creation of intergenerational, family-friendly working and living conditions in rural areas and promotion of mobility
Preservation of natural and cultural landscapes and promotion of landscape and nature conservation
Promotion of education and consumer information
Promotion of cultural heritage
Promoting civic engagement
Promoting inclusion and equality between men and women in accordance with gender mainstreaming
This is to be achieved in particular through the establishment of a specialist department for integrated rural regional development. This department is the sponsoring organization of the Local Action Group (LAG) LEADER Eastern Upper Lusatia. The tasks, working methods, and organization of the LAG are regulated in its own rules of procedure.
§4 MEMBERSHIP
The association's territory corresponds to the Upper Lusatia/Lower Silesia region. Exceptions must be decided by the board upon request.
Ordinary members
Local authorities (districts, cities and municipalities)
Natural persons, associations, companies and businesses that subscribe to the association's objectives and actively support their implementation (those interested in promoting tourism)
Honorary members can be appointed by the general meeting if they have rendered special services in promoting the association's objectives.
In addition to regular membership, supporting membership is also possible. Supporting members are individuals and legal entities who provide both ideal and material support to the association. Supporting members are invited to the general meeting but do not have voting rights.
§5 ACQUISITION OF MEMBERSHIP
The admission of ordinary and supporting members is carried out by the board upon written application.
Honorary membership can be conferred by the general assembly by a simple majority vote.
§6 TERMINATION OF MEMBERSHIP
Membership in the "Touristische Gebietsgemeinschaft NEISSELAND eV" (NEISSELAND Tourist Association) is terminated by:
Resignation is possible by giving written notice. The notice of resignation must be submitted to the board of directors. Resignation is possible at the end of the fiscal year, subject to a six-month notice period.
Dissolution of the "Tourist Region Association NEISSELAND eV"
Exclusion by the board after prior hearing due to:
Elimination of the conditions listed in §4
Arrears in contributions after three reminders while maintaining the demands
Violation of the obligations incumbent upon the members by the statutes
4. Death or cessation of business activities
5. Upon termination of membership, all rights and obligations arising from membership in the association cease. However, the member remains obligated to pay dues until the expiry of the statutory notice period for all other claims against the association that arose during the membership.
§7 RIGHTS AND OBLIGATIONS OF MEMBERS
The rights of members:
Members participate in the general meetings, can submit motions for a vote, and can be elected to the association's bodies. Motions, including a written explanation, must be submitted to the chairperson at least four weeks before the meeting date.
Members are encouraged to support the association's work through suggestions and ideas.
Members' duties:
Members are obliged to comply with the provisions of the statutes, to support the board in its work and to provide the regional community with necessary information.
Members are obliged to pay the contributions stipulated in the contribution regulations on time and to comply with the other provisions of the contribution regulations.
Members are obligated to coordinate with or inform the association on all cross-regional matters in accordance with §3. This applies in particular to marketing activities.
§7A SPECIAL LAW OF THE DISTRICT
The district receives an increased voting right of five votes for the general meeting, according to special law within the meaning of §35 BGB.
The district appoints one member to the board.
§8 CONTRIBUTION REGULATIONS
Membership fees are governed by a fee schedule. This schedule is adopted and amended by the general meeting of members. If such a resolution is to be passed, this must be stated as an agenda item in the invitation letter.
The membership fee regulations govern the amount of membership fees, payment deadlines and payment methods.

§10 MEMBERS' MEETING
The general meeting is convened by the chairman at least once a year. Invitations, including the agenda, must be sent to members in writing at least four weeks in advance.
An extraordinary general meeting must be convened within three weeks.

Applications for this must be submitted in writing to the chairman, stating the items to be negotiated.
3. A general meeting of members convened in writing, stating the agenda, shall be quorate regardless of the number of members present.
4. Motions for the agenda and amendments thereto may be submitted in writing and with reasons by the members to the board up to two weeks before the general meeting.
5. Each full member has one vote. Supporting members and honorary members have an advisory vote. Special provisions remain valid.
6. In voting, the majority of votes decides, except in the cases specified in paragraphs 16 and 17. In the event of a tie, the motion is considered rejected.
7. The general meeting is chaired by the chairman or his deputy.
8. The agenda for the ordinary general meeting must include the following items:
1. Annual Report
2. Annual accounts, audit report, discharge of the board of directors
3. Adoption of the new budget
4. New elections as required by the statutes
5. Decision on applications
6. Location and time of the next members' meeting
9. Minutes must be taken of the proceedings at the members' meeting, which must be signed by the chairman and the deputy chairman and sent to the members.
§11 BOARD OF DIRECTORS

The board is elected by the general assembly for a three-year term by secret ballot. The candidate with the most votes is elected. In the event of a tie, a runoff election is held. Re-election is permitted. The chairperson and their deputy are the legal representatives of the association. Each has sole power of representation.
The board of directors is responsible for making decisions and resolutions on all important matters between general meetings, in particular on:
all documents to the general meeting, including the annual budget
confirmation of the annual statement
Admission of members
Preparation of the annual work plan
The chairman manages the association's business, meetings and negotiations within the framework of the statutes.
Board meetings are held as needed.
The board has a quorum when at least two-thirds of its members are present. Resolutions are passed by a simple majority vote. Minutes of the board's meetings must be prepared and signed by the chairman or his deputy.
§12 WORKING GROUPS
In accordance with §9, working groups can be formed by the board for individual areas of responsibility of the regional community as needed.
The working groups prepare the work of the board and the general meeting.
§13 AUDITORS
The general meeting elects two auditors from among the members.
The auditors, acting on behalf of the general assembly, monitor the accounting of the regional community.
The auditors report the results of the audit to the general meeting.
§14 MANAGEMENT
The board of directors can appoint a managing director.
To regulate the internal business transactions of the association and the handling of the statutes, the board of directors issues rules of procedure.
The board of directors can delegate certain powers to the managing director.
The rules of procedure must be made known to the members of the association.
§15 FINANCIAL YEAR
The association's fiscal year is the calendar year
§16 AMENDMENT OF THE STATUTES
Amendments to the statutes require a majority of at least two-thirds of the members present at the general meeting
If a change to the statutes is to be made, this must be indicated as an agenda item in the invitation.
§17 DISSOLUTION OF THE ASSOCIATION
The dissolution of the regional association can only take place at a members' meeting specifically convened for this purpose, requiring a two-thirds majority of the votes cast by the members present and a two-thirds participation rate at this meeting. If a quorum is not reached, a new members' meeting with the same agenda must be convened within four weeks. This subsequent members' meeting will then decide on the dissolution by a simple majority, regardless of the number of members present.
Upon dissolution of the association, the association's assets will be transferred to the district for the specific purpose of promoting tourism.
§18 Entry into Force of the Statutes
The statutes shall come into force upon the proper conclusion of the founding meeting.
The activities of the regional association begin on the day the board is elected by the general assembly.
The above statutes were adopted by the general meeting on June 11, 2002, amended on January 18, 2005, on June 12, 2012 and on November 25, 2014.
